Forkyt Terms of Service

Welcome to Forkyt. These Terms of Service ("Terms") govern your use of the Forkyt mobile application, website, and related services (the "Service"), operated by FORKYT, INC. ("Forkyt," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. Eligibility

You must be at least 18 years old to use Forkyt. By using the Service, you represent that you are 18 or older and able to form a binding contract.

2. Your Account

You agree to provide accurate information, keep your login credentials secure, maintain only one account, and be responsible for all activity under your account. You may sign in using methods we offer, such as phone number or Sign in with Apple. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Description of Service

Forkyt is an AI-powered restaurant discovery platform that lets users discover personalized recommendations, rank and save restaurants, post reviews and photos, connect with friends, and view and share dining activity. We do not guarantee the accuracy, availability, or quality of any restaurant, listing, or recommendation.

4. License to Use the Service

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

5. User Content

You may post content such as rankings, reviews, ratings, lists, comments, and photos ("User Content"). You retain ownership of your User Content.

You grant Forkyt a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, publicly display and perform, and distribute your User Content in connection with operating, developing, promoting, and improving the Service — including using it to develop and improve our recommendation and content-classification models. This license continues for content you have shared with others or that has been used in aggregated or de-identified form, and otherwise ends within a reasonable period after you delete the content or your account, subject to backups.

User-to-user license: depending on your visibility settings, you grant other users a license to view and interact with your User Content through the Service.

Feedback: if you send us suggestions or feedback, you grant us an unrestricted, perpetual right to use it without obligation to you.

You represent that you own or have the rights to your User Content. You agree not to post content that is false or misleading (including fake or paid reviews), infringing, unlawful, harassing, hateful, sexually exploitative of minors, or that violates anyone's rights. We may remove or moderate content at our discretion, but we have no obligation to monitor.

6. Acceptable Use

You agree not to: harass, abuse, or harm others; impersonate any person or entity; use bots or automated systems; scrape, crawl, or extract data; use the Service or its data to train machine-learning or AI models or to build a competing product; reverse engineer or circumvent security; or otherwise interfere with or misuse the Service.

7. AI and Recommendations Disclaimer

Forkyt uses algorithms and artificial intelligence — including third-party AI providers — to generate recommendations and classify content. These recommendations are based on user data and behavior, are for informational purposes only, and are not guaranteed to be accurate. You are responsible for your own decisions and experiences.

8. Third-Party Businesses and Content

Forkyt lists restaurants and other businesses but does not own or operate them, and is not responsible for food quality, pricing, service, or availability. The Service may include third-party content and links we do not control.

9. Intellectual Property

All Forkyt content, branding, software, and technology are owned by Forkyt or its licensors. You may not copy, modify, distribute, or use our materials without our permission.

10. Termination

You may stop using the Service and delete your account at any time from within the app. We may suspend or terminate your access at any time if you violate these Terms or as needed to protect the Service or others. Sections that by their nature should survive termination (including User Content licenses, intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

11. Copyright / DMCA

If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA to our designated agent at info@forkyt.com. We will respond to valid notices and may remove infringing content and terminate repeat infringers.

12. Communications Consent

By providing your phone number, you consent to receive service-related text messages, such as verification codes; message and data rates may apply. Where you opt in, we may send marketing communications, which you can opt out of at any time. Email marketing includes an unsubscribe option.

13. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

15. Limitation of Liability

To the fullest extent permitted by law, Forkyt will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any matters related to restaurant experiences. Our total liability for any claim will not exceed the greater of the amount you paid us in the 12 months before the claim or US$100.

16. Indemnification

You agree to indemnify and hold harmless Forkyt and its officers, directors, employees, and agents from claims, damages, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide reasonable notice. Continued use of the Service after changes take effect means you accept the updated Terms.

18. Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Except where prohibited by law, you and Forkyt agree to first try to resolve any dispute informally by contacting info@forkyt.com. If unresolved, disputes will be resolved by binding individual arbitration, and you and Forkyt waive the right to a jury trial and to participate in a class action. Either party may bring an individual claim in small-claims court. You may opt out of arbitration within 30 days of first accepting these Terms by emailing info@forkyt.com. 19. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. Subject to Section 18, the state and federal courts located in Massachusetts will have jurisdiction.

20. App Store Terms

If you download the app from the Apple App Store or Google Play, you also agree to that store's terms. For Apple: these Terms are between you and Forkyt, not Apple; Apple is not responsible for the app or any claims relating to it; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

21. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Forkyt. If any provision is unenforceable, the rest remains in effect. We may assign these Terms; you may not without our consent. Our failure to enforce a provision is not a waiver. We are not liable for events beyond our reasonable control.
